What it does
Draftwise is a New York contract-drafting tool for transactional lawyers. It indexes executed agreements and deal history out of the document management system, mirroring live DMS permissions, and adds EDGAR filings. Lawyers draft and redline inside Microsoft Word; deeper analysis runs in the browser. From that corpus it surfaces precedent language, interprets incoming redlines and version history, and Playbook Studio auto-builds negotiation playbooks from past deals. Deal Table extracts contract data into tables and can also pull files from Google Drive and SharePoint. Legal Ontology structures clients, deals, rights, and obligations so questions return sourced answers. Knowledge Console controls which collections, playbooks, and users feed which workflows. Deploy is private-cloud, existing-cloud, or on-prem. Vendor-stated SOC 2 Type II and ISO 27001; firm data does not train public models. Pricing is quote-only (confirm with Draftwise). It is not a CLM system of record, not Westlaw or Lexis research, not e-discovery, and not practice management. You still review the redlines.
Fit
Large and mid-size transactional groups, plus in-house teams with the same job, whose executed deals already live in iManage or NetDocuments. The firm’s own precedent is the asset and nobody can currently find it under deadline. Named cuts on the vendor site include M&A, funds, leveraged finance, real estate, life sciences, and high-volume SaaS paper.
Not a fit
Plaintiff PI, litigation files, or a solo who wants a published seat price and no DMS integration. Skip if you need Salesforce-class CLM, Clio write-back, or case-law research. Draftwise sits on Word and the DMS, not a matter CMS. Demo-quoted sale; without years of executed paper and a review desk, playbooks and ontology have nothing to learn from. Auto-redlines still need a lawyer.
